General Terms and Conditions

1. Scope of Application

1.1 These General Terms and Conditions apply to all orders placed via the online shop at https://jutoshop.com.

1.3 A customer within the meaning of these General Terms and Conditions can be either a consumer or an entrepreneur.

1.4 A consumer is any natural person who concludes a legal transaction for purposes that are predominantly neither commercial nor self-employed.

1.5 An entrepreneur is a natural or legal person or a partnership with legal capacity who, when concluding the contract, acts in the exercise of their commercial or independent professional activity.

1.6 For entrepreneurs, conflicting or deviating terms and conditions apply only if we have expressly agreed to their validity. Individual agreements take precedence.

2. Conclusion of Contract

2.1 The presentation of products in the online shop does not constitute a legally binding offer, but an invitation to the customer to place an order.

2.2 The customer can initially place products in the shopping cart without obligation. Before submitting the order, the customer can check and correct their details and the contents of the shopping cart or cancel the order.

2.3 By clicking the final order button, which is clearly marked as requiring payment, the customer submits a binding offer to conclude a purchase contract for the products contained in the shopping cart.

2.4 We can accept the customer's offer within five calendar days:

  • by an explicit order or contract confirmation via email,
  • by dispatching or handing over the ordered goods, or
  • by requesting payment or by initiating or debiting the payment method selected by the customer.

The decisive factor is the time at which one of these events occurs first.

2.5 An automatically sent order or receipt confirmation merely documents that the order has been received by us. It only constitutes an acceptance of the contract if this is explicitly stated in the message or if payment is simultaneously requested or initiated.

2.6 If we do not accept the offer within the specified period, the customer is no longer bound by their order. Payments already made will be refunded immediately via the original payment method.

3. Contract Language, Storage, and Correction of Inputs

3.1 The German language is available for the conclusion of the contract.

3.2 The customer can identify and correct input errors before submitting the order using the technical means provided in the ordering process. The order can be cancelled until the final order button is pressed.

3.3 The order data and these General Terms and Conditions can be saved or printed before submitting the order.

3.4 After the contract has been concluded, the customer will receive a contract confirmation with the order data and the legally required consumer information on a durable medium, for example by email.

4. Prices and Shipping Costs

4.1 All prices stated in the online shop are total prices in Euro and include the legally owed value-added tax.

4.2 In addition to the product price, shipping costs may apply. The shipping costs applicable to the respective delivery country are displayed on the "Shipping Conditions" page and in the ordering process before the order is submitted.

4.3 Whether and from what order value free shipping is offered is determined by the shipping conditions displayed in the online shop and at checkout at the time of the order.

4.4 Only the prices, shipping costs, and any free shipping threshold displayed to the customer immediately before placing their order apply to the order. Subsequent changes do not apply retroactively to contracts already concluded.

5. Payment Methods

5.1 In the online shop, depending on the delivery country, device used, and order value, the following payment methods may be offered, among others:

  • UnionPay
  • Visa

5.2 The payment methods actually available for the specific order are displayed to the customer during checkout.

5.3 Unless otherwise specified for the selected payment method, the purchase price is due upon conclusion of the contract.

5.4 When using a payment service provider, payment processing may additionally be subject to the terms and conditions of use of the respective payment service provider. The conditions applicable to the selected payment method are displayed to the customer during the payment or ordering process.

5.5 If a payment cannot be executed for reasons attributable to the customer, the statutory claims remain unaffected. Additional costs will only be claimed if they have actually been incurred, are legally permissible, and were caused by the customer.

6. Delivery Areas and Delivery

6.1 We deliver to Germany and to the member states of the European Union selectable at checkout.

6.2 Deliveries to Switzerland, the United Kingdom, or other countries outside the European Union are not offered.

6.3 Unless a different delivery time is specified on the respective product page, the delivery time within Germany and the European Union is two to five working days.

6.4 The delivery period generally begins on the day after the contract is concluded. If the chosen payment method requires prior payment confirmation or payment authorization, the delivery period begins on the day after its receipt.

6.5 If the end of the delivery period falls on a Saturday, Sunday, or public holiday at the place of delivery, the delivery period ends on the next working day.

6.6 Delivery will be made to the delivery address provided by the customer during the ordering process and confirmed in the order summary.

6.7 Partial deliveries are permissible, provided they are reasonable for the customer. The customer will not incur any additional shipping costs as a result.

6.8 If an ordered product is not available, we will inform the customer immediately. If no contract has been concluded yet, the order will not be accepted. Payments already made will be refunded immediately.

7. Right of Withdrawal for Consumers

7.1 Consumers generally have a statutory right of withdrawal.

7.2 The conditions, deadlines, and legal consequences of withdrawal, as well as the model withdrawal form, can be found in our separate withdrawal policy.

7.3 Withdrawal can be declared, in particular, via the electronic withdrawal function provided on our website. The use of this function is not mandatory. The consumer can also declare withdrawal by any other legally permissible means, for example, by email to info@jutoshop.com.

7.4 Information on the direct return costs in the event of withdrawal can be found in the withdrawal policy. This cost regulation does not apply to justified complaints due to defective or incorrectly delivered goods.

8. Retention of Title

The delivered goods remain our property until full payment of the purchase price.

9. Statutory Liability for Defects and Guarantees

9.1 The statutory liability for defects applies.

9.2 If the delivered goods are defective, the customer is entitled to the statutory rights, in particular the right to subsequent performance and - if the legal requirements are met - to reduction, rescission, or compensation for damages.

9.3 We shall bear the expenses necessary for the purpose of statutory subsequent performance, in particular necessary transport, travel, labor, and material costs, in accordance with the statutory provisions. The return costs mentioned in the withdrawal policy therefore do not apply to justified claims for defects or incorrect deliveries.

The assertion of statutory defect rights is not dependent on the customer contacting us by email beforehand.

9.5 An additional commercial guarantee exists only if it is expressly designated as a guarantee for the respective product and its conditions are specified. Statutory defect rights are not restricted by such a guarantee.

9.6 If the purchase is a commercial transaction for both contracting parties, the duties of inspection and notification of defects according to Section 377 of the German Commercial Code (HGB) apply additionally to entrepreneurs.

10. Liability

10.1 We are liable without limitation:

  • for intent and gross negligence,
  • for damages resulting from injury to life, limb, or health,
  • for the assumption of an express guarantee,
  • for fraudulent concealment of a defect, and
  • under the mandatory provisions of the Product Liability Act.

10.2 In the event of slight negligence in breaching a material contractual obligation, our liability is limited to the foreseeable and typical damage at the time of concluding the contract. Material contractual obligations are those obligations whose fulfillment is essential for the proper execution of the contract and on whose observance the customer may regularly rely.

10.3 In all other respects, liability for damages caused by slight negligence is excluded.

10.4 The foregoing limitations of liability apply accordingly to our legal representatives, employees, and vicarious agents.

11. Consumer Arbitration

We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

12. Applicable Law and Place of Jurisdiction

12.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

12.2 For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory statutory provisions of the state in which they have their habitual residence.

12.3 For consumers, the statutory places of jurisdiction apply.

12.4 If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from the contractual relationship shall be the registered office of JD Solutions GmbH. We retain the right to sue the customer at their general place of jurisdiction as well.
